What is it: Form Schedule 14D9 is filed when a company responds to tender offer from third parties. A tender offer is a public offer to buy part or all of the shares in a corporation from the existing shareholders in the form of cash or exchange into other securities. If a company purchases back its own securities from sharesholders, Schedule 13E1 or Schedule 13E3 needs to be filed.
