Form 20-F

What is it: Form 20-F can be used as registration statement for securities, annual report, or transition report (change of fiscal year end) by foreign private issuers (defined as an issuer with less than 50% of its shares traded on US exchange). It is also required to be filed immediately before a transaction that causes a foreign shell company to cease to be a shell company. When used as annual report, it is similar to Form 10-K for domestic issuer, but has less strict information requirement.

Filing Time: If filed as annual report, must be within four months of the end of the company's fiscal year.

Form NT 20-F: Notice that a company is unable to file 20-F on time. NT 20-F extends the filing deadline by 15 days. However, this does not guarantee that the additional deadline will be met. Investors should be cautious about late filing caused by possible accounting issue.
Form NTN 20F: Similar to NT 20-F.

Tips: About 60~80 Form NT 20-F (~10% of Form 20-F) are filed each year by 60~80 different filers (2008~2014 statistics).
