What is it: Form S-3D is filed when a public traded company proposes a dividend/interest reinvestment plan to shareholders. Upon agreement from shareholders, the dividend/interest they have earned on their existing shares will be used to purchase additional shares with typically no commission. Participants generally are required to have the full amount of the dividend/interest reinvested.

Tips: S-3D filings are rarely seen, only 20~40 are filed each year (2008~2014 statistics). The selling price per share may be arbitrarily determined, and may have no relationship with the book or asset value of a company.
