Form 10-D

What is it: Form 10-D is filed by asset-backed issuer to notify investors of information about interest, dividend, or capital distribution. Asset-backed issuer is defined as who issues securities backed by receivables, such as credit card receivables, auto loans, home-equity loans, student loans, etc. These loans are securitirized and distributed to investors in the form of bonds, notes, etc. Publicly traded asset-backed securities subject to SEC regulation and must periodically disclose financial condition.

Filing Time: Within 15 days after each required distribution date.

Tips: There was a steady increase in the number of 10-D filings from less than 1,000 in 2009 to more than 7,000 in 2015 -- close to the record of about 8,000 filings in 2007. The years 2008 and 2009 witnessed sharp decrease in 10-D filings, due to the subprime mortgage crisis. However, the number of distinct filers is about 600 in 2015, far less than about 2,200 in 2017.
