Form F-1

What is it: Form F-1 is filed by foreign private issuer to register securities to be publicly traded on a U.S. securities exchange. A company is deemed "foreign issuer" if less than 50% of its shares are traded on US exchange. Form F-1 requires the most extensive disclosure of all of the registration statement forms for foreign private issuers. The form contains essential information about the company to help investors understand the business and make educated investment decision.
